RevSmith Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between you ("you," "your," or "Customer") and Datacade.AI INC (dba RevSmith) ("Datacade.AI," "we," "our" and hereafter referred to as "RevSmith"). By accessing or using our Services, you agree to be bound by these Terms.

1. 1. Use of Services

   You may use the Services only if:

   • • You are 18 years of age or older

   • • You have authority to bind the entity you represent

   • • You comply with all applicable laws and these Terms

2. 2. Account Registration and Security

   • • You must provide accurate and complete information during registration.

   • • You are responsible for all activity under your credentials.

   • • You must not share login credentials or bypass platform controls.

3. 3. Restrictions

   You may not:

   • • Use the Services for unlawful or abusive purposes

   • • Interfere with network security or integrity

   • • Attempt to reverse-engineer or access source code

   • • Transmit harmful content, including viruses or malicious code

   • • Use the Service in high-risk or critical systems (e.g., life support)

4. 4. Intellectual Property

   RevSmith retains all rights, title, and interest in the Services, including software, documentation, and UI. You retain ownership of your content but grant us a limited license to process it solely to provide the Services.

   You may not remove, modify, or obscure any proprietary notices.

5. 5. Fees and Payments

   • • Paid Services are billed according to your selected plan.

   • • All payments are due upfront and are non-refundable.

   • • Late or failed payments may result in suspension.

   • • All fees are exclusive of taxes, which are your responsibility.

6. 6. Termination

   We may suspend or terminate your account if you:

   • • Violate these terms or any applicable law.

   • • Engage in fraud, abuse, or unauthorized use.

   • • Fail to pay applicable fees.

   You may cancel at any time. Upon cancellation, your access will terminate at the end of the billing cycle.

7. 7. Disclaimer of Warranties

   The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. RevSmith disclaims all warranties including:

   • • Merchantability

   • • Fitness for a particular purpose

   • • Non-infringement

   • • Availability or uptime

8. 8. Limitation of Liability

   To the maximum extent permitted by law, RevSmith will not be liable for:

   • • Indirect, incidental, special, or consequential damages

   • • Loss of data, revenue, profits, or business

   Our aggregate liability is limited to the amount you paid in the 12 months preceding the claim.

9. 9. Indemnification

   You agree to defend, indemnify, and hold harmless RevSmith, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

   • • Your use or misuse of the Services

   • • Violation of these Terms

   • • Your content or data shared with us

   • • Any harm, loss, or damages resulting from inaccurate, incomplete, or misleading responses generated by the AI support agent

   You acknowledge and agree that AI-generated responses are probabilistic in nature and may contain factual inaccuracies or misinterpretations. The Services are intended to assist, not replace, human decision-making. You remain solely responsible for the supervision, evaluation, and use of all outputs generated by the AI system.

   You agree to defend, indemnify, and hold harmless RevSmith, its officers, directors, and employees from any third-party claims or liabilities arising from:

   • • Your use or misuse of the Services

   • • Violation of these Terms

   • • Your content or data shared with us

10. 10. Governing Law and Jurisdiction

    These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. You consent to exclusive jurisdiction in the federal or state courts of Delaware.

11. 11. Changes to Terms

    We reserve the right to update these Terms at any time. We will notify you of significant changes. Continued use constitutes acceptance.
